National Biotech Calls Its Second Annual General Meeting
Kathmandu. National Biotech has called its Second Annual General Meeting (AGM) to issue Ordinary Shares to the general public.
The decision to call the AGM for Mangsir 5 was made at a meeting of National Biotech's Board of Directors on Tuesday. The notice, published on Thursday, requests all shareholders to attend the meeting at the A One Cafe & Party Palace in Naya Bazar, Kathmandu.
The company stated that a special resolution will be proposed at the upcoming AGM to issue Ordinary Shares to the public.
Proposals will also include the utilization of capital obtained after the share issuance, necessary amendments to the Memorandum and Articles of Association, and granting authority to the Board of Directors to issue shares and conduct banking transactions.
Discussions at the AGM will cover proposals to approve the Annual Report for the fiscal year 2081/82, the financial statements up to the end of Ashad of the current fiscal year along with the auditor's report, and the appointment of an auditor for 2082/083 and determination of their remuneration as per Section 111 of the Companies Act, 2063.
